TERMS OF SUPPLY LAST UPDATED: 26th April 2026 IMPORTANT: BY PURCHASING A TEST KIT AND PROVIDING ACCEPTANCE ON OUR WEBSITE, YOU AGREE TO BE BOUND BY THESE TERMS. THIS DOCUMENT CONTAINS A BINDING LIABILITY WAIVER AND AFFECTS YOUR LEGAL RIGHTS. PLEASE READ IT CAREFULLY. 1. INFORMATION ABOUT US 1.1 Company Details: We are ExoAnalytics Limited, a company incorporated in England and Wales with company number 16320424 . 1.2 Contact: You can contact us via: - email at kris@exoanalyticsdata.com; or - post at 9 Fir Tree Road, Fernhill Heath, Worcester, England, WR3 8RE 2. SCOPE AND APPLICATION 2.1 Direct Customers: These Terms apply to individuals purchasing a Test Kit directly from us, typically via our website, for personal use. 2.2 Participant: In these terms, "you" or the "Participant" refers to the individual purchasing and/or undergoing the test. 2.3 Agreement: Acceptance of these Terms occurs when you tick the confirmation box on our website and / or upon placing an order with us. 3. ORDERS, SHIPPING, AND RETURNS 3.1 Orders: Any order placed with us will include an order for the purchase of a testing kit including carbohydrate mix, the short term use or “rental” of testing equipment, and sample analysis and testing services provided by us to you, which shall include the production of an exogenous carbohydrate oxidation report, and fuelling suggestions. Our acceptance of your order occurs when we send you an email confirmation, we will also provide you with additional information and instructions that will be required for completing any at home testing. 3.2 Rejection of Orders: we may from time to time reject orders (for example, because we can't verify your age (where the service is age-restricted), due to stock issues, or where there are inaccuracies in pricing or product details). When we reject an order, we will let you know as soon as possible and will refund any amount you have paid. 3.3 Testing Logistics: You are responsible for posting the samples and rented equipment back to us within no more than seven (7) days from delivery of our Testing Kits. To ensure accurate analysis and results, we require all samples to be (i) returned within three (3) days of collection of that sample, and (ii) taken using and following the provided instructions. Once we have received your completed testing kit, we will provide the services in accordance with clause 4 below. 3.4 Refunds: You have a legal right to change your mind about your order and receive a refund in full within fourteen (14) days of delivery of the testing kits. 3.5 Refund Exceptions: Consumables are non-refundable once dispatched, and the Testing Kits (being sealed products) which have been unsealed from their packaging will for hygiene reasons be non-refundable once opened, unless there is a defective issue with the testing kits. 3.6 Refund Reductions: Where you return sealed products within fourteen (14) days, please note that if you handle the product (including Testing Kits and any Equipment) in a way which is deemed by us to not be acceptable, we may reduce your refund, to compensate us for its reduced value. For example, we reduce your refund if the product's condition is not "as new", the packaging is damaged or any items or accessories are missing. In some cases, because of the way you have treated the Testing Kits and any Equipment, no refund may be due and in some cases regarding the Equipment, additional costs may be payable in accordance with clause 8. 3.7 Issues with Testing Kits: We provide our testing kits in accordance with all requirements imposed by law, including to ensure that the contents of your order is as described, fit for purpose and of satisfactory quality. THE SERVICES & NON-MEDICAL STATUS 4.1 Service Description: We provide substrate utilisation testing to determine your ability to burn exogenous carbohydrates during exercise to provide fuelling suggestions based on the data you have provided using our testing kits and equipment. 4.2 Methodology: Our analysis combines breath sample data (third-party lab analysis) with real-time metabolic data or predictive modelling. 4.3 Reports: Once we receive your testing samples and data, we will complete the exogenous carbohydrate oxidation analysis and based on the data we have received, we will prepare an exogenous carbohydrate oxidation report (the “Report”), which will be provided to you within two (2) weeks of receiving the required data and samples from you, subject always to receiving accurate data from you, any delays with postage of the samples or equipment, or any delays in the upload of any data. We shall have no liability for any failure to deliver the Report to the extent that such failure is caused by any event outside our control, including any postal delays or issues. 4.4 DISCLAIMER, PLEASE READ CAREFULLY: Non-Medical Service: ExoAnalytics is not a medical provider. Our Reports and outputs are for wellness and exogenous substrate oxidation information purposes only. They are not intended to diagnose, treat, or screen for medical conditions. It is your choice to act upon them. In some cases, such as at an event run by us or one of our partners, we may assist with or complete the testing or sample collection on your behalf. Such testing or sample collection is not a medical test, nor undertaken for the purpose of any medical testing or diagnosis. ExoAnalytics (and its personnel) are not medically trained, nor are we medical providers or advisors. Any testing completed is done so in order to assist with the Services and is not in any event or circumstance a medical test or examination. 4.5 Age Restriction: All participants should be aged 18 years or older. By purchasing our Services and agreeing to these Terms, you confirm that you are aged 18 or over. 4.6 Service Standard: We provide our services with reasonable care and skill, if you have any concerns about the service we have provided our Reports, you can ask us to fix any issues. We will review your concerns and where any issues are found, will repeat our services to resolve such issues. 5. NATURE OF THE TEST (INFORMED CONSENT) 5.1 The Process: You acknowledge that the test involves:
  • Ingesting a specific carbohydrate mix provided in the kit.
  • Wearing a metabolic mask or mouthpiece connected to a testing device.
  • Performing physical exercise (e.g., running or cycling) at a sub-maximal, steady-state pace.
  • Self-collecting breath samples into tubes for laboratory analysis.
5.2 Intensity Level: You understand this is not a test of maximal exertion. You are expected to maintain a steady, comfortable pace. 5.3 Sample collection: You will be provided with instruction sheets and video instructions both prior to and during the testing process. Our instructions and videos will guide you through each stage of the test, however, it is your responsibility to ensure that you follow all of the instructions and for providing usable samples and data for analysis. We are not responsible for any Reports that are incomplete or inaccurate as a result of inaccurate information or data, or incomplete samples provided to us, so please ensure that you follow the instructions and guides and contact us if you have any issues or concerns. 5.4 Instructions and Guides: All instructions, videos, and guides are provided for guidance and information only and in accordance with clause 4.4 shall in no circumstances constitute any medical advice. 5.5 Reliance on your data: In order to provide you with our services and complete our analysis, we are relying on the data and samples that you provide. You are responsible for ensuring the accuracy of all information provided to us in order to receive an accurate Report. 6. PRICE AND PAYMENT 6.1 Price: Prices and VAT are as displayed on the website at the time of purchase. 6.2 Payment: Payment will be taken at the time of purchase. We will require full payment in cleared funds before we are able to dispatch any Testing Kits or provide any Reports. 6.3 VAT: If the rate of VAT changes, we will adjust the rate of VAT that you pay, unless you have already paid in full before the change in the rate of VAT takes effect. 7. DISCLAIMERS: MEDICAL DECLARATION & WARRANTY 7.1 Participant Warranty: By proceeding, you warrant that you are in good health, are not pregnant, and have no medical conditions that would make moderate exercise dangerous. You acknowledge that you should seek independent medical advice before undertaking this test if you feel it is necessary. 7.2 Carbohydrate Mix: All allergens are listed on our packaging. You are strictly responsible for checking the provided ingredients list for suitability, including for allergens or dietary intolerances. We accept no liability for adverse reactions to the carbohydrate mix. 8. EQUIPMENT: THE METABOLIC MASK 8.1 Ownership: Any metabolic mask provided to you for the purpose of providing metabolic data (including breath-by-breath gas exchange data e.g. VO2, VCO2) (the “Metabolic Mask”) remains the property of ExoAnalytics (or any third party provider of the Metabolic Masks) and is "rented" to you for the duration of the test. 8.2 Equipment Return: The Metabolic Mask must be returned to us within three (3) days of delivery to you, or otherwise immediately on our demand. 8.3 User Responsibility: You must take reasonable care of the mask; if it is lost, stolen, damaged, or is otherwise not returned to us, you will be liable for the full replacement cost. 8.4 Third-Party Software & Data Flow: Use of the mask requires the external software and apps, which is governed by that third party’s own terms of service and privacy policy as found on their website. You acknowledge that metabolic data is captured via the Metabolic Mask, sent to the third party software and then processed on their servers (which may be collected, used and stored, outside of the UK or EEA). This data is therefore sent directly to the third party service provider from you (via the relevant app or other such software) and then transmitted from that third party to ExoAnalytics for our analysis. ExoAnalytics is not responsible for the data handling practices, terms, or privacy policies of any third party. 8.5 Third Parties: As at the date of these Terms, we are currently using the following third party service providers: Calibre Biometrics: provider of the Calibre Mask and the Calibre App, based in the USA. 9. INTELLECTUAL PROPERTY (IP) 9.1 Ownership: ExoAnalytics retains 100% ownership of all methodology, analysis algorithms, Report formats, and know-how, including any improvements. 9.2 License: Subject to receiving payment from you in full and cleared funds, we grant you a personal, non-exclusive license to use the Report for your own training information. You may not reverse-engineer our analysis or use the Report for commercial purposes. 10. DATA PROTECTION (UK GDPR) 10.1 Data Controller: For Direct Customers, ExoAnalytics is the Data Controller. 10.2 Explicit Consent for Health Data: This test collects Health Data (metabolic markers), which requires Explicit Consent under Article 9 of the UK GDPR. By ticking the box on our website, or completing a purchase with us, you explicitly consent to:
  • The processing of your biological samples and metabolic data by ExoAnalytics.
  • The transfer of samples to our certified UK Laboratory Partners.
  • The international transfer of data to US servers via the Calibre App as described in Clause 6.3.
10.3 No Consent: We want to ensure that all of our customers provide us with their freely given, explicit, and informed consent. However, due to the nature of the services we provide, please be aware that if we do not have your consent to process your Health Data we may be unable to provide you with our services, as your health data is fundamental to the analyse services we provide. 10.4 Research Use: You consent to the use of your anonymised or pseudonymised data for internal R&D and algorithm improvement. 10.5 Privacy Policy: For further details on how we process your personal data, please see our full Privacy Policy at https://exoanalytics.co.uk/pages/privacy-policy 11. LIABILITY & WAIVER 11.1 Assumption of Risk: You acknowledge that any physical exercise carries inherent risks and you undertake this test voluntarily and at your own risk. 11.2 Waiver: To the fullest extent permitted by law, you release ExoAnalytics Limited from liability for any loss or injury sustained during the self-administration of this test. 11.3 Limitation of Liability: Our total aggregate liability to you for any claim arising out of these Terms is limited to the total fees paid for your most recent order. 11.4 Statutory Rights: In accordance with the Consumer Rights Act 2015, nothing in these terms limits our liability for death or personal injury caused by our proven negligence, or for fraud. 11.5 Losses: We're not responsible for losses you suffer caused by us breaking this contract if the loss is unexpected, avoidable (by you), or caused by an event outside of our control. 11.6 Events Outside our Control: If our supply of your order is delayed by an event outside our control, we will contact you as soon as possible to let you know and do what we can to reduce the delay. As long as we do this, we won't compensate you for the delay, but if the delay is likely to be substantial you can contact our customer service team: https://exoanalytics.co.uk/pages/contact, to end the contract and receive a refund if you have paid for in advance, provided that the testing kits are unsealed and we have not yet begun providing our services to. 11. GENERAL 11.1 Ending the Contract: we can end our contract with you and stop providing our services at any time if you (a) do not make payment to us when it is due, (b) you do not, within a reasonable time of us asking for it, provide us with information, cooperation or access that we need to provide our services, or (c) you do not return any of our equipment. 11.2 Product Changes: We can always change our products (including the testing kits and any carbohydrate mix) including to (a) reflect changes in relevant laws and regulatory requirements, or (b) make adjustments and improvements. 11.3 Complaints: please raise any complaints or concerns that you use with our customer service team: https://exoanalytics.co.uk/pages/contact, who will do their best to resolve any problems you have. 11.4 Third party rights: This agreement is between you and us. Nobody else can enforce it, or has any rights under these Terms, and neither of us will need to ask anybody else to sign-off on ending or changing it. 11.5 Invalidated clauses: If a court invalidates any of the clauses in these terms, the rest of it will still apply. If a court or other authority decides that some of these Terms are unlawful, the rest will continue to apply. 11.6 No delay: Even if we delay in enforcing these Terms, we can still enforce them later. We might not immediately chase you for not doing something or for doing something you're not allowed to, but that doesn’t mean we can't enforce our rights later. 11.7 Governing Law: These Terms are governed by the laws of England and Wales. 11.8 Jurisdiction: The courts of England and Wales shall have exclusive jurisdiction. If you live outside of England and Wales, you can also bring claims against us in the courts of the country you live in. We can claim against you in the courts of the country you live in.
